Galderma Group AG has signed an agreement to acquire ZO Skin Health for an enterprise value of $1.5 billion, marking a significant development in the global dermatological skincare market. The proposed transaction will bring together Galderma’s established dermatology portfolio and ZO Skin Health’s professional skincare products, strengthening the company’s position in the physician-dispensed skincare segment. Founded by dermatologist Dr. Zein Obagi, ZO Skin Health is known for science-led skincare regimens and products distributed through dermatologists, medical spas and other professional channels. The acquisition is expected to complement Galderma’s existing brands, including Cetaphil and Alastin, and expand its reach across professional skincare markets worldwide. The transaction remains subject to customary closing conditions, including regulatory approvals, with completion anticipated in the fourth quarter of 2026 or early 2027. The deal reflects the continued strategic value of established skincare brands that combine professional distribution, differentiated formulations and international growth opportunities.
Galderma Expands Its Professional Skincare Portfolio
The acquisition is intended to strengthen Galderma’s position across the dermatology and skincare value chain. The company already operates in several segments, including therapeutic dermatology, aesthetic injectables and consumer skincare. Adding ZO Skin Health would broaden its professional skincare offering and create opportunities to serve dermatologists, plastic surgeons, medical spa professionals and consumers seeking specialized skincare routines. ZO Skin Health has built its reputation around physician-dispensed skincare products and structured treatment regimens designed to address concerns such as uneven skin tone, visible signs of aging, texture and overall skin quality. Its portfolio includes more than 40 products manufactured in the United States and is distributed through a network of over 16,500 physician, medical spa and online accounts across more than 40 countries. The brand reported approximately $330 million in net sales for the 12 months ended June 2026, demonstrating its established commercial presence in the professional skincare segment. Galderma expects to combine its global commercial infrastructure and dermatological expertise with ZO Skin Health’s professional network to support further development and international expansion. The transaction also highlights the increasing importance of professional skincare as consumers seek products that complement dermatological consultations and aesthetic procedures. By adding ZO Skin Health, Galderma aims to strengthen its relationships with healthcare professionals while maintaining distinct brand identities across its portfolio.
ZO Skin Health and Alastin Offer Complementary Products
A key element of the acquisition is the complementary positioning of ZO Skin Health and Alastin, another professional skincare brand within Galderma’s portfolio. ZO Skin Health focuses on daily skincare regimens and products incorporating ingredients such as retinol and exfoliating acids, while Alastin is known for peptide-based formulations designed for professional skincare and use around aesthetic procedures. Together, the brands could allow Galderma to serve a wider range of professional skincare needs. The combined portfolio may support skincare routines addressing everyday maintenance, visible signs of aging and post-procedure care, depending on individual needs and professional recommendations. Galderma has indicated that it intends to apply its Integrated Dermatology Strategy to support ZO Skin Health’s future development. Planned commercial investment during the first year after completion is expected to lay the foundation for renewed growth from the second year onward. The acquisition is also aligned with broader consumer interest in dermatology-informed skincare. Professional distribution can help connect product recommendations with clinical expertise, although the benefits of individual products depend on their formulation, evidence and appropriate use.
$1.5 Billion Deal Sets Out Financial and Growth Plans
Under the agreement, Galderma will acquire 100% of ZO Skin Health through an all-cash transaction valued at $1.5 billion in enterprise value, subject to customary adjustments. The transaction is expected to be financed through a combination of existing cash resources and bank financing. Galderma expects the acquisition to be neutral to core earnings per share in the first full year following closing. The company also anticipates slight dilution to its core EBITDA margin in 2027, with margins expected to become broadly comparable with the group average from 2028 onward. The planned completion timeline remains dependent on regulatory approvals and other customary closing requirements. Until the transaction closes, ZO Skin Health continues to operate under its existing ownership arrangements. For Galderma, the acquisition represents an opportunity to expand its professional skincare business through a brand with an established international network and strong physician relationships. For the wider skincare industry, the agreement underscores continued consolidation around science-led brands and professional distribution channels. The long-term impact will depend on successful integration, continued brand differentiation and sustained demand for professional skincare products. If completed as planned, the acquisition will strengthen Galderma’s dermatological skincare portfolio and expand its participation in the global professional skincare market.
