Clarivate Plc has announced a definitive agreement to sell its Life Sciences & Healthcare (LS&H) segment to Altaris LLC for $600 million, marking a major strategic transformation that will sharpen the company’s focus on its Academia & Government (A&G) and Intellectual Property (IP) businesses. The transaction is designed to strengthen Clarivate’s position as a leading provider of AI-driven intelligence, workflow software, and technology-enabled solutions, while improving its financial profile through enhanced margins, reduced capital intensity, and lower debt. Under the agreement, Clarivate will receive $500 million in cash at closing, $25 million in deferred cash following completion of transition services, and a $75 million seller note. The company plans to use the proceeds primarily to reduce debt and enhance long-term shareholder value while reaffirming its full-year 2026 financial outlook. The divestiture reflects Clarivate’s ongoing strategy to streamline operations, optimize capital allocation, and focus on high-growth information and analytics businesses that support global innovation, scientific research, and intellectual property management.
Strategic Portfolio Realignment Focuses on AI and Knowledge Solutions
The sale represents a key milestone in Clarivate’s four-pillar Value Creation Plan, which emphasizes optimizing the business portfolio, accelerating innovation, improving commercial execution, and enhancing operational efficiency. Following completion of the transaction, Clarivate will concentrate its resources on expanding its Academia & Government and Intellectual Property segments, both of which benefit from strong customer relationships, shared technology platforms, and extensive proprietary content assets. These businesses provide advanced research intelligence, library solutions, intellectual property analytics, workflow software, and technology-enabled services that support universities, government organizations, research institutions, and global enterprises.

Altaris Expands Healthcare Investment Through LS&H Acquisition
For Altaris LLC, a healthcare-focused investment firm specializing in building and growing healthcare companies, the acquisition strengthens its portfolio by adding a business with deep expertise across the drug and medical device development lifecycle. Clarivate’s Life Sciences & Healthcare segment delivers trusted data, analytics, and consulting services supporting drug discovery, clinical development, regulatory strategy, commercialization, and market access, making it an important resource for pharmaceutical and medical technology companies worldwide. Clarivate expects the transaction to close before the end of 2026, subject to customary regulatory approvals and closing conditions.
The company also reaffirmed its 2026 financial guidance, while indicating that the LS&H business will be reported as discontinued operations beginning in the third quarter following completion of the transaction.
