SOUTH SAN FRANCISCO, Calif. — October 19, 2026
TriGemX Bio, a biotechnology company developing elismetrep, an investigational treatment for migraine, and TCGX Acquisition Corp. (Nasdaq: TCGX) have entered into a definitive business combination agreement to create a publicly traded biotechnology company. The combined company will operate as TriGemX Bio, Inc. and is expected to trade on Nasdaq under the ticker symbol TGEM following the transaction’s completion. The proposed combination includes a concurrent $160 million private investment in public equity (PIPE) and is expected to generate approximately $246 million in total gross proceeds, assuming no redemptions by TCGX’s public shareholders and before transaction costs. The transaction is intended to support late-stage development of elismetrep, a potential first-in-class oral treatment for the acute management of migraine, while funding preparations for a potential U.S. commercial launch. The companies’ boards have approved the agreement, with closing expected in the first quarter of 2027, subject to shareholder approvals and customary closing conditions.
$246 Million Transaction to Fund Late-Stage Development
The proposed business combination is expected to provide the combined company with approximately $246 million in gross proceeds, comprising around $86 million held in TCGX’s trust account and the concurrent $160 million PIPE financing. The PIPE investment is priced at $10.00 per share and includes participation from healthcare investors such as TCGX, Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital and Vianti Capital, alongside other investors. Assuming no shareholder redemptions, the combined company is expected to have a post-transaction equity value of approximately $600 million at closing. TriGemX Bio shareholders will roll 100% of their equity into the combined company and will not receive cash proceeds from the transaction. Net proceeds are expected to support completion of the ongoing Phase III clinical trials of elismetrep for acute migraine treatment, preparation and submission of a New Drug Application (NDA) for that indication, and a clinical trial evaluating elismetrep for migraine prevention using a distinct dose and formulation. Funding will also support key commercial readiness activities ahead of a potential U.S. launch. Jefferies and TD Cowen served as joint lead placement agents and capital markets advisers to TCGX, while Cantor and LifeSci Capital acted as additional placement agents. Legal advisers included Cooley LLP for TriGemX Bio and Latham & Watkins LLP for TCGX, with separate Cayman counsel supporting both parties.
Elismetrep Targets TRPM8 for Acute Migraine Treatment
Elismetrep, also known as K-304, is an investigational oral transient receptor potential melastatin 8 (TRPM8) channel blocker designed to inhibit TRPM8 activity as a potential approach to treating migraine. According to TriGemX Bio, the compound was well tolerated and reduced migraine pain and associated symptoms in a Phase IIb trial. The company is currently evaluating elismetrep in Phase III studies for the acute treatment of migraine, with results from the first Phase III trial anticipated in mid-2027. The clinical program includes two pivotal studies, identified as NCT07645924 and NCT07816367, and a long-term safety study, NCT07674654. In addition to the acute-treatment program, the planned migraine-prevention study will assess a different dose and formulation. The company’s development strategy reflects an effort to investigate both immediate migraine relief and preventive treatment through a targeted mechanism involving neural signaling pathways. However, the Phase III studies remain ongoing, and the investigational therapy’s efficacy and safety will require further evaluation. Elismetrep has not been approved by the U.S. Food and Drug Administration (FDA) or any other regulatory agency.
Public Listing Planned for First Quarter 2027
TriGemX Bio CEO Jeff Goater said the anticipated transaction proceeds are expected to fund the company’s Phase III development program and key commercial preparations as it advances elismetrep toward potential U.S. availability. Chen Yu, founder and managing partner of TCGX and CEO of TCGX Acquisition Corp., said the partnership reflects TCGX’s focus on supporting life sciences companies developing new therapies. Completion of the proposed business combination remains subject to approval by shareholders of both TriGemX Bio and TCGX Acquisition Corp., along with satisfaction or waiver of other customary closing conditions. If completed as planned, the transaction would give TriGemX Bio access to public-market financing to support its clinical and commercial strategy. TCGX is a special purpose acquisition company sponsored by TCGX Sponsor, LLC, an affiliate of TCG Crossover Management, LLC, and was formed to pursue a business combination with another company. Further transaction details are expected in a Current Report on Form 8-K to be filed by TCGX with the U.S. Securities and Exchange Commission. The proposed listing and financing mark a corporate milestone for TriGemX, while the future commercial prospects of elismetrep will depend on the outcomes of its ongoing clinical development and regulatory review.
