The global pharmaceutical industry marked an important strategic development as TerSera Therapeutics announced the closing of the divestiture of its Infusion Specialty Therapies (IST) business unit to ESTEVE, a European pharmaceutical company focused on specialized treatments. The transaction represents a significant milestone for both organizations, enabling ESTEVE to strengthen its presence in the United States pharmaceutical market while allowing TerSera to focus more intensively on its core therapeutic areas of oncology and rare diseases. The agreement highlights the growing trend of strategic restructuring and portfolio optimization in the pharmaceutical sector, where companies streamline operations to focus on innovative therapies and specialized treatment areas with high unmet medical need.
Strategic Expansion of ESTEVE in the U.S. Market
The acquisition significantly enhances ESTEVE’s commercial footprint in the United States, the world’s largest pharmaceutical market. Through the transaction, ESTEVE acquires TerSera’s Infusion Specialty Therapies business unit, which includes two established specialty medicines along with the experienced commercial team responsible for marketing and distribution. This strategic move enables ESTEVE to expand its operational capabilities in North America while strengthening its global portfolio of highly specialized pharmaceutical treatments.
Company leadership emphasized that the acquisition aligns with ESTEVE’s long-term vision of becoming a global leader in specialty medicines that address complex and underserved medical conditions. By integrating the IST business unit, the company gains access to established products, experienced professionals, and expanded infrastructure that supports continued growth in the competitive healthcare market. The transaction also reflects a broader industry trend where pharmaceutical companies pursue targeted acquisitions to accelerate innovation and market expansion.
Key Specialty Medicines Strengthening ESTEVE’s Portfolio
The Infusion Specialty Therapies business includes two important pharmaceutical products that will now become part of ESTEVE’s growing portfolio. The first is Prialt® (ziconotide intrathecal infusion), a specialized therapy indicated for the management of severe chronic pain in adult patients requiring intrathecal treatment. Notably, Prialt® is the only non-opioid therapy approved for certain severe chronic pain conditions delivered via intrathecal infusion, offering a critical treatment option for patients who do not respond to conventional pain management therapies.
The second product included in the transaction is Quzyttir® (cetirizine hydrochloride injection), recognized as the first injectable second-generation H1 antihistamine approved for the treatment of acute urticaria (hives) in adults and pediatric patients aged six months and older. This medication is widely used in clinical settings such as hospitals and emergency departments because it provides rapid relief from allergic reactions while minimizing sedation compared to older antihistamines.
Under the terms of the agreement, ESTEVE gains worldwide rights to Quzyttir® except in China, while also consolidating its rights to Prialt®, which the company had already been marketing in Europe prior to the acquisition. These assets significantly enhance ESTEVE’s capability to deliver specialized pharmaceutical therapies to patients globally.
TerSera Focuses on Oncology and Rare Disease Innovation
For TerSera Therapeutics, the completion of the divestiture represents an important step in sharpening its long-term corporate strategy. By transferring ownership of the IST business unit, the company will now concentrate resources on the development and commercialization of innovative therapies for oncology and rare diseases, two areas with substantial unmet medical need and strong potential for scientific advancement.
Company executives noted that the decision allows TerSera to allocate greater investment toward research, development, and commercialization of targeted therapies designed to improve outcomes for patients facing complex or life-threatening conditions. At the same time, the company expressed confidence that the IST portfolio will continue to grow under ESTEVE’s leadership, benefiting from the organization’s expertise in specialized pharmaceutical markets.
The transaction also builds on the existing collaboration between the two companies, particularly regarding the commercialization of Prialt® in European markets. By expanding this partnership through the transfer of the IST business unit, both organizations strengthen their positions within the evolving pharmaceutical landscape while ensuring continued access to essential specialty treatments.
As the pharmaceutical industry continues to evolve through strategic acquisitions, divestitures, and portfolio realignment, the TerSera-ESTEVE agreement illustrates how companies are adapting to deliver innovative medicines, expand global reach, and address critical healthcare needs. The completion of this transaction is expected to generate long-term value for both organizations while improving access to specialized therapies for patients and healthcare providers worldwide.
