Repligen Corporation has announced a definitive agreement to acquire BioLife Solutions in a transaction valued at approximately $1.5 billion, a strategic move that significantly strengthens its position in the rapidly expanding cell and gene therapy (CGT) market. The acquisition combines Repligen’s leadership in bioprocessing technologies with BioLife’s market-leading biopreservation media and cell processing tools, creating one of the industry’s most comprehensive portfolios for advanced therapy manufacturing. The transaction, expected to close in the fourth quarter of 2026 pending regulatory approvals and shareholder consent, is designed to accelerate innovation, expand recurring revenue, and enhance support for biopharmaceutical manufacturers developing next-generation therapies.
Strategic Acquisition Expands Cell Therapy Manufacturing Portfolio
The acquisition represents a major milestone for the global biopharmaceutical manufacturing industry, as Repligen broadens its capabilities beyond traditional biologics manufacturing into the high-growth cell therapy sector. BioLife Solutions brings a highly differentiated portfolio led by its CryoStor® biopreservation media, which currently supports 18 commercially approved cell therapies and is widely used across U.S. sponsored cell therapy clinical trials. By integrating BioLife’s products with Repligen’s established strengths in filtration, chromatography, process analytics, proteins, and fluid management, the combined organization aims to provide customers with a more comprehensive end-to-end manufacturing solution. Company executives highlighted that the transaction will improve customer access to innovative manufacturing technologies while expanding Repligen’s global commercial footprint, particularly across Asia-Pacific markets. The acquisition also introduces a strong recurring consumables business, further strengthening long-term revenue stability and positioning the combined company to capitalize on continued growth in advanced therapies.
Financial Benefits and Strong Growth Outlook
Beyond its strategic importance, the acquisition is expected to deliver substantial financial benefits. Repligen projects the transaction will be accretive to revenue growth, adjusted operating margins, and adjusted earnings per share, contributing at least $0.05 per share in the first year and $0.25 per share in the second year following completion. The company also expects to generate at least $20 million in operational synergies during year one, increasing to $30 million in year two, driven by manufacturing optimization, supply chain efficiencies, elimination of duplicate public-company expenses, and administrative savings. BioLife shareholders will receive $11.25 in cash and 0.1442 shares of Repligen common stock per share, representing a total value of $31.00 per share and a premium over BioLife’s recent trading average. Importantly, Repligen expects to maintain a healthy balance sheet with more than $300 million in pro forma cash, preserving flexibility for future strategic investments and acquisitions.
