Eli Lilly and Company has announced a definitive agreement to acquire AtaiBeckley Inc., a clinical-stage biopharmaceutical company focused on developing rapid-acting therapies for treatment-resistant depression (TRD) and other serious mental health conditions. The acquisition significantly strengthens Lilly’s neuroscience pipeline by adding a portfolio of innovative neuroplastogen-based therapeutics designed to restore neural connectivity rather than simply manage symptoms. The transaction is centered around BPL-003, an investigational intranasal synthetic 5-MeO-DMT therapy that has demonstrated rapid and durable antidepressant effects in clinical studies and has already received U.S. FDA Breakthrough Therapy Designation. Lilly will also gain access to additional late-stage pipeline assets, including VLS-01, currently in Phase 2b development, reinforcing the company’s long-term strategy of delivering transformative therapies for patients with severe psychiatric disorders who have limited treatment options. Acquisition Accelerates Innovative Depression Therapies

The lead candidate, BPL-003 (mebufotenin benzoate), is administered as an intranasal therapy and is designed to rapidly restore synaptic plasticity, enabling the brain to rebuild neural connections involved in mood regulation. Clinical data from a Phase 2b study demonstrated meaningful and durable reductions in depressive symptoms following a single clinic visit lasting approximately two hours, with therapeutic benefits extending for several months. In addition to BPL-003, Lilly acquires VLS-01, a buccal film formulation of DMT currently advancing through Phase 2b clinical development, as well as additional discovery-stage neuroscience programs focused on developing next-generation psychiatric therapies. Together, these assets significantly expand Lilly’s leadership in innovative mental health research while complementing its broader neuroscience portfolio.

Under the terms of the agreement, Lilly will acquire all outstanding shares of AtaiBeckley for $6.75 per share in cash, representing an upfront equity value of approximately $2.8 billion, with additional contingent value rights (CVRs) potentially increasing the total transaction value by another $1 billion upon achievement of future clinical and regulatory milestones involving BPL-003 and VLS-01. The acquisition is expected to close during the third quarter of 2026, subject to shareholder approval and customary regulatory conditions.
