Princeton, New Jersey, USA, November 5, 2026
ANI Pharmaceuticals, Inc. has announced a recommended public offer to acquire Swedish pharmaceutical company Egetis Therapeutics AB in a strategic transaction valued at approximately SEK 5.6 billion (US$560 million). The proposed acquisition is expected to strengthen ANI Pharmaceuticals’ rare disease portfolio, expand its commercial capabilities, and accelerate its long-term transformation into a leading company focused on treatments for rare and underserved medical conditions. The transaction will bring together ANI’s established rare disease expertise, commercial infrastructure, and patient access capabilities with Egetis Therapeutics’ innovative drug development and commercialization experience. A key attraction of the proposed acquisition is Egetis’ lead product, EMCITATE® (tiratricol), which is approved in the United States and Europe for treating peripheral thyrotoxicosis associated with MCT8 deficiency, an ultra-rare genetic disorder.
Strategic Acquisition to Strengthen Rare Disease Portfolio
The proposed acquisition represents an important development in ANI Pharmaceuticals’ strategy to expand its presence in the rare disease therapeutics market. Egetis Therapeutics is a commercial-stage pharmaceutical company dedicated to developing and delivering innovative treatments for patients affected by rare diseases with significant unmet medical needs. Its lead product, EMCITATE®, received European Commission approval on February 12, 2025, and U.S. Food and Drug Administration (FDA) approval on September 28, 2026. The treatment is indicated for peripheral thyrotoxicosis in adult and pediatric patients with MCT8 deficiency, also known as Allan–Herndon–Dudley syndrome. This rare genetic condition affects approximately one in 70,000 males and can cause severe neurological and developmental complications. ANI expects EMCITATE® to have the potential to achieve more than $300 million in peak annual sales in its approved indication. The product also benefits from New Chemical Entity exclusivity, Orphan Drug exclusivity in the United States and Europe, and patent protection extending into mid-2045. These protections are expected to provide a long-term commercial opportunity while supporting ANI’s strategy of expanding its higher-margin rare disease business.
$560 Million Offer and Transaction Details
Under the announced offer dated November 5, 2026, ANI Pharmaceuticals is proposing to acquire Egetis Therapeutics shares for SEK 11.25 per share, representing a 27% premium over the company’s 60-day volume-weighted average share price. The total offer value, including outstanding incentive programs, convertible debt, and warrants, is approximately SEK 5.6 billion, equivalent to around $560 million. Following adjustments for the estimated net proceeds from Egetis’ previously announced sale of its Rare Pediatric Disease Priority Review Voucher, the transaction reflects an estimated enterprise value of approximately $434 million. The voucher sale, announced on November 4, 2026, is expected to generate gross proceeds of $190 million. Egetis Therapeutics’ Board of Directors has unanimously recommended that shareholders accept the offer. Additionally, shareholders representing approximately 42% of Egetis’ outstanding shares have agreed to accept the proposal, subject to specified conditions. The transaction will be financed through a combination of ANI’s available cash resources and new debt financing provided by JPMorgan Chase Bank, N.A. The proposed offer remains subject to customary closing conditions, including acceptance by shareholders representing at least 90% of Egetis’ outstanding shares and the receipt of necessary regulatory approvals.
Expansion of Clinical Development and Commercial Opportunities
Beyond the acquisition of EMCITATE®, ANI Pharmaceuticals expects the transaction to strengthen its research and development capabilities through the addition of Egetis’ experienced clinical development team. Egetis has an ongoing clinical development program evaluating tiratricol in patients with resistance to thyroid hormone beta (RTH-beta), providing an additional opportunity to expand the potential applications of its therapeutic expertise. ANI plans to leverage its existing medical affairs operations, patient access programs, reimbursement support, and rare disease commercialization infrastructure to support the continued development and market expansion of EMCITATE®. According to ANI President and Chief Executive Officer Nikhil Lalwani, the proposed acquisition supports the company’s broader strategy of adding differentiated rare disease products and expanding its capabilities to serve patients with significant unmet medical needs. The company also expects the transaction to diversify its revenue base and strengthen its long-term growth and profitability profile. The acceptance period for the public offer is expected to begin around November 20, 2026, and end around December 18, 2026. Completion will depend on the satisfaction of the applicable offer conditions and regulatory requirements. Overall, ANI Pharmaceuticals’ proposed acquisition of Egetis Therapeutics represents a significant strategic investment in the rare disease pharmaceutical market. By combining an approved ultra-rare disease treatment with established commercial infrastructure and additional clinical development capabilities, the transaction could strengthen ANI’s position in specialty therapeutics and expand access to innovative treatments for patients with serious unmet medical needs. However, the acquisition remains subject to the required shareholder acceptances and regulatory approvals.
