Alfasigma S.p.A. has entered into a share purchase agreement with SEVER Life Sciences B.V. to acquire 100% of Nordic Group B.V. (Nordic Pharma) and its subsidiaries, expanding Alfasigma’s specialty pharmaceutical portfolio and strengthening its international commercial presence. The transaction supports Alfasigma’s M&A-led global growth strategy, with a particular focus on specialty and rare diseases, gastroenterology, immunology, and rheumatology. Financial terms of the transaction were not disclosed. Completion remains subject to customary closing conditions, including any required regulatory clearances.
Alfasigma Expands Rheumatology Portfolio
The acquisition will add Nordic Pharma’s established rheumatoid arthritis business, led by the Nordimet® methotrexate franchise, to Alfasigma’s existing rheumatology portfolio, which includes the Jyseleca® franchise. The combination is expected to create additional opportunities for Alfasigma to strengthen its position in inflammatory and autoimmune diseases while expanding the breadth of its specialty care offering. Nordic Pharma also brings additional products and commercial expertise across women’s health, critical care, and ophthalmology, providing Alfasigma with a more diversified specialty pharmaceutical portfolio. The transaction reflects the company’s strategy of combining targeted acquisitions and partnerships with its existing commercial and scientific capabilities.
Nordic Pharma Adds Europe, Canada and Japan Reach
Beyond portfolio expansion, the transaction will significantly broaden Alfasigma’s geographic footprint. Following completion, Alfasigma expects to have direct operations in 18 countries across Europe, while adding commercial platforms in Canada and Japan. Nordic Pharma contributes approximately €190 million in 2025 revenue and a workforce of 265 employees with specialist pharmaceutical capabilities. The addition of Nordic Pharma’s established operations and teams is expected to strengthen Alfasigma’s commercial infrastructure and provide new opportunities to bring specialty medicines to patients across additional international markets. The geographic expansion also supports Alfasigma’s ambition to build a stronger global specialty pharmaceutical organization.
Acquisition Strengthens Alfasigma’s M&A Strategy
The Nordic Pharma transaction follows several recent portfolio-building initiatives by Alfasigma as the company continues to pursue an M&A-driven international expansion strategy. Its specialty and rare disease strategy is focused particularly on gastroenterology and immunology, while the Nordic Pharma acquisition adds further scale in rheumatology and other specialty areas. Alfasigma has previously expanded its inflammatory disease portfolio through the acquisition of Jyseleca® and entered into a licensing agreement with GSK for linerixibat, a potential treatment for cholestatic pruritus associated with primary biliary cholangitis in adults. The Nordic transaction further demonstrates the company’s approach of using acquisitions and strategic partnerships to expand its therapeutic portfolio and geographic reach.
The acquisition will bring together two pharmaceutical organizations with complementary portfolios, specialist teams, and international commercial capabilities. Alfasigma said the combination is intended to strengthen its ability to serve patients while creating additional opportunities for growth in specialty care. Nordic Pharma’s established rheumatoid arthritis business and international commercial platforms represent the central strategic value of the transaction, while its additional products in women’s health, critical care, and ophthalmology further diversify the combined portfolio. The deal remains subject to regulatory review and other customary closing conditions before completion. For Alfasigma, the planned acquisition represents another significant step in its transformation into a broader global specialty and rare disease pharmaceutical company.
