Talawar Therapeutics has announced a definitive business combination agreement with JATT II Acquisition Corp. that will create a publicly listed biotechnology company focused on developing next-generation bispecific antibodies for immunology and inflammatory (I&I) diseases. The transaction is supported by an oversubscribed $225 million private investment in public equity (PIPE) and is expected to provide approximately $285 million in total cash at closing, subject to customary conditions and shareholder approvals. The financing is designed to accelerate the clinical development of TALA-125, Talawar’s lead anti-IL-13 × anti-IL-18 bispecific antibody for atopic dermatitis, with clinical entry anticipated in the first quarter of 2027 and a Phase 2b proof-of-concept data readout expected during the second half of 2028. Following completion of the transaction, the combined company will operate as Talawar Therapeutics and is expected to trade on the Nasdaq Capital Market under the ticker symbol TLWR, positioning the company to advance innovative immunology therapies for patients with significant unmet medical needs.
TALA-125 Designed to Advance Bispecific Immunology Therapies
