AbbVie has announced a definitive agreement to acquire Apogee Therapeutics in a transaction valued at approximately $10.9 billion, significantly strengthening its leadership position in immunology and inflammatory disease therapeutics. The acquisition brings a portfolio of innovative clinical-stage biologics targeting major inflammatory conditions, including atopic dermatitis, asthma, eosinophilic esophagitis, and chronic obstructive pulmonary disease (COPD). Under the terms of the agreement, Apogee shareholders will receive $135.11 per share in cash, with the transaction expected to close during the third quarter of 2026 pending shareholder and regulatory approvals. Longer-term data also suggest the potential for highly convenient dosing schedules, including quarterly or even twice-yearly administration.
AbbVie believes the asset has the potential to become a best-in-class therapy, providing superior efficacy and convenience compared with existing treatment options. The acquisition also includes APG273, a combination therapy targeting both IL-13 and thymic stromal lymphopoietin (TSLP), currently being developed for asthma.
