AbbVie has announced a definitive agreement to acquire Apogee Therapeutics in a transaction valued at approximately $10.9 billion, significantly strengthening its leadership position in immunology and inflammatory disease therapeutics. The acquisition brings a portfolio of innovative clinical-stage biologics targeting major inflammatory conditions, including atopic dermatitis, asthma, eosinophilic esophagitis, and chronic obstructive pulmonary disease (COPD). Under the terms of the agreement, Apogee shareholders will receive $135.11 per share in cash, with the transaction expected to close during the third quarter of 2026 pending shareholder and regulatory approvals. Currently being developed for atopic dermatitis, zumilokibart has demonstrated encouraging Phase 2 clinical results, with approximately two-thirds of treated patients achieving substantial skin clearance alongside meaningful improvements in itch reduction and overall disease control. Longer-term data also suggest the potential for highly convenient dosing schedules, including quarterly or even twice-yearly administration.
AbbVie believes the asset has the potential to become a best-in-class therapy, providing superior efficacy and convenience compared with existing treatment options. The acquisition also includes APG273, a combination therapy targeting both IL-13 and thymic stromal lymphopoietin (TSLP), currently being developed for asthma. Together, these assets enhance AbbVie’s ability to address a broad spectrum of immune-mediated diseases while reinforcing its long-standing position as a global immunology leader.
