DALLAS, Texas, U.S., November 2, 2026
Kimberly-Clark Corporation has completed its acquisition of Kenvue Inc., creating a major global consumer health and wellness company with a portfolio of well-established brands serving billions of consumers worldwide. The completed transaction brings together Kimberly-Clark’s expertise in personal care, hygiene and tissue products with Kenvue’s established consumer healthcare and self-care businesses. The combined organization includes 10 billion-dollar brands, spanning categories such as baby care, oral care, skin health, pain relief, feminine care and adult care. The companies expect the combination to strengthen their global market presence, expand innovation capabilities and create opportunities for operational efficiencies. Kimberly-Clark said the combined business will serve consumers in more than 175 countries and operate through a more integrated commercial and organizational structure. The acquisition marks a significant strategic development in the global consumer healthcare industry, where established brands, scientific innovation and broad distribution networks play important roles in meeting changing consumer needs.
Kimberly-Clark Combines Leading Consumer Health Brands
The acquisition unites two major consumer-focused businesses with complementary product portfolios. Kimberly-Clark contributes globally recognized brands such as Huggies, Cottonelle, Depend, Kleenex, Kotex and Scott, while Kenvue brings consumer healthcare and personal care brands including Tylenol, Listerine, Neutrogena and Johnson’s Baby. Together, these businesses create a broader portfolio covering everyday health, hygiene and wellness needs across different stages of life. The combined company aims to strengthen its position in attractive consumer categories, particularly baby care, women’s health and active aging. These segments are supported by changing demographics, increased attention to preventive health and growing consumer interest in accessible healthcare products. Kimberly-Clark also highlighted the opportunity to combine Kenvue’s established consumer health brands with its own manufacturing, distribution, brand-building and commercial capabilities. The company intends to use consumer insights and product innovation to develop solutions that address evolving healthcare and personal care requirements. The transaction therefore represents more than an expansion of product ownership; it brings together complementary business capabilities intended to improve the reach and competitiveness of the combined portfolio.
$2.1 Billion Synergy Opportunity Supports Growth Strategy
Kimberly-Clark has reiterated its expectation of approximately $2.1 billion in annual run-rate synergies from the acquisition. The company’s financial plan includes approximately $1.9 billion in cost synergies, expected to be captured within the first three years following completion, alongside approximately $500 million in incremental profit from revenue synergies within four years. These expected benefits are partially offset by approximately $300 million in planned reinvestment. The company intends to pursue efficiencies through operational improvements, commercial execution, procurement and the integration of business functions. Kimberly-Clark will also apply its existing Powering Care growth strategy to support innovation, strengthen brand performance and improve market execution. The company has established an integration plan and identified initiatives intended to deliver the expected financial benefits. However, the projected synergies remain forward-looking expectations and will depend on successful integration, execution and market conditions. Kimberly-Clark also acknowledged that the transaction increases its debt obligations, making financial discipline and effective integration important priorities following the acquisition.
Combined Company Establishes Four Global Business Segments
Following completion, Kimberly-Clark will operate through four major business segments: North America, Asia Pacific Focus Markets, Europe, Middle East and Africa (EMEA), and Enterprise Markets. These regional structures are designed to support local market execution while coordinating the combined company’s global strategy. North America is expected to generate approximately $18 billion in annual sales, while Asia Pacific Focus Markets are projected at approximately $4.3 billion. EMEA is expected to contribute around $5 billion, and Enterprise Markets, which includes Latin America, India, Southeast Asia and Japan, approximately $4.3 billion. The combined company’s board now consists of 13 directors, including three members who previously served on Kenvue’s board. Mike Hsu continues as Chairman and Chief Executive Officer of Kimberly-Clark, leading the integrated organization. Under the transaction terms, Kenvue shareholders received $3.50 in cash and 0.14625 shares of Kimberly-Clark common stock for each Kenvue share held. Kenvue shares ceased trading on the New York Stock Exchange at the market opening on November 2, 2026.
The completed acquisition marks a major consolidation in the consumer health and wellness sector. By combining established healthcare and personal care brands with global manufacturing and distribution capabilities, Kimberly-Clark aims to build a broader platform for consumer-focused innovation and long-term growth. The success of the transaction will depend on integration execution, continued consumer trust and the company’s ability to deliver the expected financial and operational benefits.
