Apogee Therapeutics announced a landmark $1.3 billion strategic financing collaboration with Blackstone Life Sciences to support the Phase 3 development and future commercialization of zumilokibart, the company’s lead investigational therapy for inflammatory and immunology (I&I) diseases. The transaction represents one of the largest non-dilutive biotechnology financing agreements for a pre-Phase 3 program and significantly strengthens Apogee’s financial position as it advances toward late-stage development and commercialization. Combined with Apogee’s existing $1.3 billion cash position, the deal is expected to provide sufficient capital to potentially achieve profitability without requiring future equity financing.
Blackstone Provides Massive Non-Dilutive Funding Support
Under the agreement, Blackstone Life Sciences will provide up to $800 million in synthetic royalty financing alongside access to an additional $500 million in senior corporate debt, creating a flexible capital structure designed to support the long-term development of zumilokibart. The financing package allows Apogee to continue advancing its pipeline while minimizing shareholder dilution, a growing priority among biotechnology companies facing volatile capital markets.
The synthetic royalty portion includes low-to-mid single-digit tiered royalties on future worldwide annual sales of zumilokibart for a 15-year term. Importantly, the royalty percentage declines as sales increase, with no royalty obligations applying to annual global sales above $8 billion. The first $400 million in funding will be distributed across three milestones, including $100 million at signing, $100 million upon completion of Phase 3 enrollment, and $200 million following positive Phase 3 clinical data. An additional $400 million becomes available after potential FDA approval, including $150 million at Apogee’s discretion.
Executives from both companies emphasized that the structure provides Apogee with substantial operational flexibility while validating investor confidence in zumilokibart’s commercial potential. Blackstone described the agreement as the largest royalty financing ever completed for a pre-Phase 3 biotechnology program, reflecting strong conviction in the therapy’s ability to become a major multi-indication immunology product.
Zumilokibart Targets Major Inflammatory Disease Markets
Zumilokibart is being developed as a potential best-in-class biologic therapy for moderate-to-severe atopic dermatitis (AD) and several additional inflammatory diseases including asthma, eosinophilic esophagitis (EoE), and chronic obstructive pulmonary disease (COPD). According to Apogee, the therapy is designed to deliver differentiated efficacy and improved dosing convenience compared with currently available treatments through advanced antibody engineering technologies.
The financing announcement coincided with the release of new APEX Phase 2 Part B clinical data, which the company believes further support zumilokibart’s commercial potential. Michael Henderson, M.D., Chief Executive Officer of Apogee Therapeutics, stated that the collaboration marks a transformational milestone for the company and positions zumilokibart as a potential next-generation first-line therapy for atopic dermatitis.
