ROME & CORAL GABLES, Fla., July 16, 2026
Angelini Pharma has completed its acquisition of Catalyst Pharmaceuticals, marking a major milestone in its strategy to become a global leader in Brain Health and Rare Diseases. The transaction integrates Catalyst’s commercial portfolio and U.S. infrastructure into Angelini Pharma while significantly expanding the company’s presence in the United States. Under the terms of the agreement, Catalyst shareholders received $31.50 per share in cash, representing a total equity value of approximately $4.1 billion (€3.5 billion), and Catalyst has ceased trading on the Nasdaq Global Market.
Acquisition Strengthens Global Brain Health and Rare Disease Platform
The acquisition combines Angelini Pharma’s neuroscience expertise with Catalyst’s established portfolio of therapies for rare neurological disorders and its commercial capabilities in the U.S. market. The newly formed Global Rare Disease Business Unit, led by former Catalyst President Rich Daly, will focus on expanding access to innovative treatments for patients with rare diseases while supporting the company’s long-term international growth strategy. Angelini Pharma stated that Italy will continue to serve as a strategic manufacturing and scientific research hub within its global operations.
Blackstone and CDP Equity Back Strategic Expansion
The transaction is supported by significant strategic investments from Blackstone and CDP Equity. Funds managed by Blackstone will invest €1 billion in preferred equity, subject to customary regulatory approvals, while CDP Equity has approved an approximately €1 billion capital investment to acquire a 23.5% stake in Angelini Pharma’s common equity. The investments are intended to strengthen research and development, expand the company’s global footprint, and support continued innovation across brain health and rare disease programs.
Financing Supports Long-Term Global Growth
The acquisition was financed through a consortium of 14 international financial institutions, led by BNP Paribas as Sole Global Coordinator and Underwriter. With the integration of Catalyst, Angelini Pharma gains an established U.S. commercial platform alongside a growing rare disease portfolio, positioning the company for expanded global operations while continuing investments in scientific research, manufacturing, and pharmaceutical innovation across Europe and North America.
