AbbVie has completed its acquisition of Apogee Therapeutics, strengthening the pharmaceutical company’s immunology pipeline with clinical-stage assets targeting dermatologic, respiratory and other inflammatory diseases. Under the completed transaction, Apogee shareholders received $135.11 per share in cash, representing a total equity value of approximately $10.9 billion. Apogee is now part of AbbVie, while Apogee’s common stock has ceased trading on the Nasdaq. The acquisition adds a portfolio of novel antibody programs to AbbVie’s existing immunology capabilities, with particular emphasis on atopic dermatitis, asthma and chronic obstructive pulmonary disease (COPD).
AbbVie Strengthens Its Immunology Pipeline
The acquisition provides AbbVie with zumilokibart (APG777), Apogee’s lead clinical-stage asset and a long-acting monoclonal antibody targeting interleukin-13 (IL-13). IL-13 is an important cytokine involved in type 2 inflammation and has been implicated in diseases including atopic dermatitis and asthma. Zumilokibart has been developed with an extended half-life intended to enable less frequent administration, potentially offering a differentiated treatment approach for patients who require long-term control of inflammatory disease. In Apogee’s Phase 2 study in atopic dermatitis, approximately two-thirds of patients receiving zumilokibart achieved significant skin clearance at 16 weeks, according to the company. The program also demonstrated improvements in itch reduction and overall disease control, while longer-term data supported potential maintenance dosing schedules of either quarterly or twice-yearly administration. AbbVie said the asset’s safety profile was favorable and consistent with other medicines in its class. The acquisition is strategically important because AbbVie already has a substantial presence in immunology, while Apogee brings additional mechanisms and long-acting biologic candidates. Combining the companies’ capabilities is expected to give AbbVie opportunities to advance Apogee’s programs through later-stage development, regulatory activities and, if successful, eventual commercialization.
Apogee Adds Long-Acting Respiratory Programs
Beyond zumilokibart, the acquisition adds APG273, a potential long-acting combination designed to target two inflammatory pathways: IL-13 and thymic stromal lymphopoietin (TSLP). TSLP acts as an early signaling trigger in type 2 inflammation within the lungs, making it an important target in respiratory diseases such as asthma. APG273 combines zumilokibart with APG333, an antibody that blocks TSLP. According to Apogee’s clinical data, APG333 demonstrated a long half-life and was able to suppress relevant type 2 inflammatory biomarkers for up to six months following dosing in a Phase 1 study. Positive interim Phase 1b findings for zumilokibart in asthma further supported the development rationale for the combination. The potential for quarterly or twice-yearly administration could become an important differentiating factor if supported by future clinical trials. Long-acting biologics may reduce treatment frequency and potentially improve convenience and adherence for patients managing chronic inflammatory respiratory conditions. The pipeline also includes additional antibody programs targeting validated inflammatory pathways, giving AbbVie an opportunity to expand its research efforts beyond its established immunology portfolio.
$10.9 Billion Deal Expands AbbVie Growth Strategy
The completed transaction represents one of AbbVie’s major strategic investments in its future immunology growth portfolio. AbbVie said the acquisition is intended to strengthen its leadership in immunology and combine Apogee’s scientific innovation with AbbVie’s clinical development, regulatory and commercial capabilities. Financially, AbbVie expects the acquisition to reduce adjusted diluted earnings per share by approximately $0.14 in 2026 and about $0.46 in 2027, with accretion expected to begin in 2032. The company reaffirmed its previously issued 2026 adjusted diluted EPS guidance of $13.87 to $14.07 following completion of the transaction. For the biopharmaceutical industry, the acquisition highlights the continued importance of late-stage immunology assets, long-acting biologics and validated inflammatory targets in pharmaceutical business development. It also demonstrates how large pharmaceutical companies are using strategic acquisitions to supplement internal R&D with externally developed clinical programs. Importantly, zumilokibart and the other acquired pipeline assets remain investigational, and their future clinical, regulatory and commercial success is not guaranteed. AbbVie will now assume responsibility for advancing these programs and determining their next development steps. With the $10.9 billion Apogee acquisition completed, AbbVie has added a differentiated set of immunology programs that could broaden its presence across dermatology and respiratory medicine while supporting its longer-term pharmaceutical growth strategy.
